Granite is a Canadian-based REIT engaged in the acquisition, development, ownership and management of logistics, warehouse and industrial properties. Tidal Royalty, MichiCann Medical business combination Tidal Royalty Corp. and MichiCann Medical Inc. announced the completion of a business combination to continue as Red White & Bloom Brands Inc., forming a multi- state cannabis operator that holds a hemp production facility in Illinois and the right to acquire an investee that is operating a vertically integrated cultivation, production and retail business in Michigan. Prior to the completion of the business combination, Tidal advanced an aggregate of approximately $18 million to MichiCann in multiple tranches pursuant to a senior secured convertible debenture. Boyd Group Services completes bought deal financing Boyd Group Services Inc. has completed a bought deal financing consisting of 1.1 million shares at a price of $183 per share. CIBC Capital Markets, Cormark Securities Inc., Goldman Sachs and National Bank Financial Inc., acting as co-leads and joint bookrunners, led the offering on behalf of a syndicate of underwriters in this transaction. The underwriters exercised their over-allotment option in full, acquiring an additional 165,000 shares, which increased the amount of gross proceeds totalling to $231,495,000. Highway 104 twinning project reaches financial close The Government of Nova Scotia and Dexter Nova Alliance GP — a general partnership of affiliates of BBGI SICAV S.A., Municipal Enterprises Limited and Nova Construction Co. Ltd. — reached financial close on the Highway 104 Sutherlands to Antigonish twinning project. It carries a total contract amount of approximately $718 million. The project is being delivered through a design, build, finance, operate and maintain P3 procurement model over a 20-year operating period. The project agreement included customized force majeure relief for epidemics and pandemics during the construction period. Allied Properties REIT completes $300-million debt offering Allied Properties Real Estate Investment Trust completed a $300-million debt offering of 3.131 per cent series G senior unsecured debentures pursuant to a prospectus supplement dated May 12, 2020 to a short form base shelf prospectus dated Nov. 19, 2019. Agents led by Scotia Capital Inc., CIBC World Markets Inc. and TD Securities Inc. offered the debentures on an agency basis. Aird & Berlis LLP represented Allied while Stikeman Elliott LLP represented the underwriters as Canadian counsel. Granite REIT Holdings completes $500-million debenture offering Granite REIT Holdings Limited Partnership, a subsidiary of Granite Real Estate Investment Trust and Granite REIT Inc., completed an offering of $500 million aggregate principal amount of Series 4 senior unsecured debentures due 2027. A syndicate Dentons welcomes new partner Dentons LLP announced that Emil Vidrascu has joined the firm as a partner in the litigation and dispute resolution group in its Montreal office, effective June 15. Called to the Quebec bar in 1995, Vidrascu's practice areas include Aboriginal law, construction law, competition law and commercial litigation. He has extensive experience in appearing before courts and in private arbitrations. Vidrascu obtained his law degree from the Université de Montréal. He also participated as a consultant to the Romanian government with regard to the reform of the Romanian Civil Code, following which Romania adopted a new Civil Code in 2009. Cynthia Crysler joins Cavalluzzo Cynthia Crysler has joined Cavalluzzo LLP as partner. She will lead the firm's pensions and benefits practice. For almost 25 years, Crysler has exclusively worked in pensions and benefits from a broad range of perspectives, including private practice representing unions, employees and administrators, within the Ontario government, within a large jointly sponsored public sector plan and, most recently, with Ontario's new pension regulator on strategic projects. She was also seconded as counsel to the Ontario Expert Commission on Pensions chaired by Prof. Harry Arthurs, resulting in the first comprehensive report on the pension system in Canada in 20 years.
